Acceptance of Terms
These Terms of Service ("Terms") apply to your access to and use of ProWorx services provided by Blackhawk Catalyst Technology & Consulting LLC DBA ProWorx Software ("ProWorx", "we", "our", or "us"). By accessing or using our services, creating an account, logging in, or otherwise using the Service, you agree to be bound by these Terms and any additional terms presented inside the ProWorx application.
Business Use
ProWorx is intended for business use by service businesses and their authorized users. If you use ProWorx on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Customer Responsibility
Customers are responsible for their own business operations, services, pricing, estimates, bookings, customer communications, workmanship, licenses, permits, taxes, insurance, refunds, warranties, and legal compliance. ProWorx provides software tools only and does not perform or guarantee customer services.
SMS/Text Messaging Terms
By providing your mobile phone number and affirmatively opting in to receive text messages from Blackhawk Catalyst Technology & Consulting LLC DBA ProWorx Software, you consent to receive recurring SMS/MMS messages from ProWorx Software. Messages may include account notifications, customer care messages, appointment reminders, estimate updates, invoice updates, service updates, support communications, review or feedback requests, and occasional marketing or promotional communications.
Customers and users may opt in by submitting a ProWorx website form, service request form, estimate request form, account registration form, customer intake form, or in-application consent checkbox where SMS consent language is displayed. SMS consent is not a condition of purchase.
Message frequency varies. Message and data rates may apply.
You may opt out at any time by replying STOP to any text message. After opting out, you may receive one confirmation message and no further text messages will be sent unless you opt in again. For assistance, reply HELP or contact us at alex.vaysben@blackhawkcatalyst.com.
Your mobile phone number, text messaging opt-in data, and consent information will not be shared with or sold to third parties for marketing or promotional purposes. See our Privacy Policy for more details.
SMS Consent Language for Forms
ProWorx forms that collect SMS consent should clearly display language similar to the following near the phone number field or SMS checkbox:

Customer Communications
If the Service enables you to send SMS, email, reminders, review requests, invoices, marketing messages, or other communications, you are responsible for obtaining legally required notices, opt-ins, consents, and authorizations from recipients. You must honor opt-out requests and comply with applicable communications laws, carrier rules, and platform requirements.
Prohibited Messaging and Abuse
You may not use ProWorx to send unlawful marketing, spam, unsolicited text messages, robocalls, deceptive communications, abusive content, or messages that violate applicable law, carrier rules, or recipient consent. ProWorx may limit, suspend, or disable messaging features if we believe your use creates legal, carrier, deliverability, fraud, abuse, or reputational risk.
Payments and Third-Party Services
ProWorx may connect with third-party services, including payment processors, communications providers, hosting providers, and partner services. Those services may be subject to their own terms, eligibility rules, fees, privacy practices, and compliance requirements. ProWorx is not responsible for third-party service decisions, outages, delays, fees, or actions.
AI-Assisted Features
ProWorx may include AI-assisted or automated features such as drafting help, intake support, pricing suggestions, summaries, or messaging assistance. These tools are provided for convenience only. Customers are responsible for reviewing and approving all outputs before relying on them or sending them to others.
Acceptable Use
You may not use ProWorx to violate any law, engage in fraud, impersonation, harassment, discrimination, spam, unauthorized access, malware distribution, or other harmful conduct. ProWorx may suspend or terminate access if we believe continued use creates legal, security, operational, carrier, processor, partner, or reputational risk.
Service Availability and Changes
ProWorx may modify, update, limit, suspend, or discontinue features at any time. Beta, pilot, preview, or early-access features may change and may be less reliable than production features.
Disclaimers and Limitations
The Service is provided "as is" and "as available" to the maximum extent permitted by law. ProWorx does not guarantee any particular business result, lead volume, payment success rate, review volume, customer retention level, revenue outcome, or third-party service performance. To the maximum extent permitted by law, ProWorx will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy.
Governing Law
These Terms are governed by the laws of the State of Tennessee, except to the extent federal law applies.
Full Platform Terms
Additional and more detailed terms may be presented inside the ProWorx application and may be required for continued access or use of the platform. If there is a conflict between these public website terms and terms separately accepted inside the ProWorx application, the in-app terms will control for use of the platform.
